Company Secretariat Specialist

An exciting opportunity exists at Corporate Office for an experienced professional to provide technical support to the Board, Subsidiaries and Management in effectively performing their duties.

 
Key Performance Outputs
 
The successful candidate, reporting to the Manager Company Secretariat will be responsible for the following:
  • Ensuring accurate and timeous dissemination of the board, EXCO, board committees and management committees programmes;
  • Drafting of Agendas for meetings, liaison with members with regard thereto and settling Agendas with the respective Chairman;
  • Formulation and drafting of Year Planner;
  • Compile resolutions and action logs from meetings and ensure timeous distribution thereof;
  • Assist with annual assessment of performance of Directors, Internal Audit; External Audit and Finance Function;
  • Assist with the induction and continuous development of directors;
  • Ensure confidentiality and compliance to statutory requirements;
  • Assist in formulation and implementation of Committee Terms of Reference and Work Plans;
  • Assist with the compilation and maintenance of the Departmental Risk Register, King III Gap analysis and compliance with Companies Act and PFMA;
  • Ensure annual evaluation and assessment of committees and the escalation of results to the relevant governance structure;
  • Build, support and maintain healthy diverse Internal (Management, Executives and Board) as well as external (service providers etc.) relationships and implement remedial actions where required, to ensure minimum risk to the company.
 
Technical Skills and Experience
 
The following skills and experience, or the equivalent of such, will be required:
  • Bachelors’ Degree in Legal/ Company Secretary (CIS) / Finance is essential.
  • Minimum of 5 years operational experience within Corporate Governance Secretariat Administration role;
  • Professional registration with the Institute of Chartered Secretaries and Administrators SA (ICSA);
  • This position requires someone with in-depth knowledge of Corporate Governance Principles, relevant Codes and Legislation, particularly the Companies Act, Public Finance Management Act and King III.

The ideal candidate must be confident, customer-centric and portray exceptional communication skills. The ability to exercise good judgement when making decisions, whilst maintaining composure is critical. A high level of diplomacy and the ability to remain calm under pressure, whilst resolving problems using a combination of intuition and analytical thinking is critical. Lastly, the successful incumbent must meticulous and act in line with the dominant values of the organization and set definite milestones to ensure the achievement of goals.
